Preparing a Company for an Acquisition Discussion

Information that helps a first acquisition conversation go smoothly, and what can wait until later.

Helpful early

Three years of financial statements, a summary of major customers and suppliers, an overview of the team, and a short history of the business are usually enough for an initial discussion.

Can wait

Detailed contracts, employee records, tax returns and a formal data room typically come later, once both sides agree there is a reason to continue and a confidentiality agreement is in place.

Be candid about challenges

Every business has issues. Raising them early builds trust and avoids difficult surprises during due diligence.
